I am of the opinion that prayer and contention of the application is nothing to prejudice the judgment-debtor in any manner: Calcutta High Court

The above-mentioned was opined by the Calcutta High Court in the case Star Vincom Pvt. Ltd v. K.L Pvt Ltd, IA No. GA/1/2022 before Honourable Justice Bibhas Ranjan De on 8th December 2022. 

FACTS OF THE CASE

An application was filed for substitution after an order of amalgamation was passed by the NCLT on 5th May 2017 following which Elecom Merchandise Pvt. Ltd, Gracious Merchants Pvt Ltd, and Star Vincom Pvt Ltd that was specified in the first, second, and third part of the schedule transferred and vested without further act to Darkwell Suppliers Pvt Ltd. according to Section 232 of the Companies Act, 2013.

The respondent did not file any grounds for objection for impleading Darkwell Suppliers Pvt Ltd.

 

JUDGEMENT OF THE CASE

The Court was of the opinion that the prayer and the contention of the application will not prejudice the respondent in any manner and the substitution is allowed.
